The Microsite contains photographs (“Images”) relating to the campaigns of the brand CHARLES & KEITH. Only professionals who work exclusively for, or are preparing articles for Publications may request for access to the Microsite. For the purposes of these terms and conditions, “Publications” shall mean newspapers and magazines in paper format, the web sites of such newspapers and magazines, and the web sites of newspapers and magazines which are published only through the Internet but on a fixed period basis (weekly, monthly, bi-monthly et cetera).

By completing and submitting the application form for the Microsite, you warrant and represent that you are working exclusively for, or are preparing articles for the Authorised Media. You further warrant that you have been authorised to accept these terms and conditions for and on behalf of the Authorised Media.

You are required to make an application for a user name and a password to access the Microsite. By completing and submitting the application, you confirm acceptance of these terms and conditions. CHARLES & KEITH may decide, at its sole discretion, whether or not to grant you access. For the avoidance of doubt, submitting the registration form does not guarantee that you will be granted access to Microsite.

Subject to you being granted a user name and a password, you may view and download the Images available on the Microsite. The password is personal to you. You shall not share your password with any other person.

The Images shall only be used for the Publication indicated in the application (“Authorised Media”). You shall use the Images for the purpose of illustrating news and information features published in the Authorised Media, always provided that: (i) such use of the particular Image is within the season’s window to coincide with the product’s availability in stores – which shall be stated on the Microsite; (ii) clear indication in the article that the product featured in the Image is a CHARLES & KEITH product; and (iii) a clearly visible notice is placed at the bottom of each of the Images attributing the copyright of the Image to CHARLES & KEITH.

The Images shall not: (i) be used for any purposes, or in any other media or Publication, other than the Authorised Media; (ii) be incorporated in the front page, cover page or home page, of any Publication unless specific written consent is granted for such purposes. Please send such requests to marketing@charleskeith.com; (iii) be altered, amended and/or transformed, except for such non-substantial alterations or amendments which are strictly necessary for the adjustment of the Images to the editorial format on which there are included; (iv) be used in a manner that may denigrate or be detrimental to the public perception of CHARLES & KEITH, or any other companies that are part of or related to

CHARLES & KEITH; (v) be used in news, features or any other type of editorials, whose contents might be construed to be harmful to the reputation and public perception of CHARLES & KEITH, or any other companies that are part of or related to CHARLES & KEITH, or to the person(s) featured in the Images; (vi) be used by in any manner not specifically set out in these terms and conditions (vii) be used by any party apart from the Authorised Media. Items (v) and (vi) shall be determined by CHARLES & KEITH in its absolute discretion, acting reasonably.

The access to the Microsite, including the relevant user name and password, is non-transferable and is expressly subject to compliance with these terms and conditions. CHARLES & KEITH reserves the right, in its absolute discretion, to revoke or amend at any time the abovementioned authorisation. Likewise, CHARLES & KEITH reserves the right to take legal measures against you or the Authorised Media for any use of the Images (i) that do not comply with these terms and conditions, (ii) that infringes the intellectual or industrial property rights, copyrights or similar rights of CHARLES & KEITH, or the person(s) featured in the Images, or of any third party; or (iii) that breaches any applicable law.

All rights over the Images are reserved to CHARLES & KEITH. You and the Publication are granted a license to use the Images subject to these terms and conditions, which may be amended by written notice to you from time to time. For the avoidance of doubt, no ownership rights over the Images are granted by this license to you or the Publication.

Upon receiving the written notice of CHARLES & KEITH, you and the Authorised Media undertake to take all commercially reasonable measures to cease use of the Images. You and the Authorised Media shall be liable for the all damages, costs, fees and expenses that may arise out of the unauthorised use of the Images, and shall hold CHARLES & KEITH harmless against any claims that may arise out of the breach of these terms and conditions or misuse of the Images.

These terms and conditions shall be governed by Singapore law. Each of the parties irrevocably submit to the non-exclusive jurisdiction of the courts of Singapore. Each of the parties irrevocably waives any objections to the jurisdiction of Singapore on the basis that the process has been brought in an inconvenient forum.
